Funds Company Secretary

About the Role:

Our highly renowned client is seeking a highly motivated and experienced Funds Company Secretary to join their dynamic and growing team in Dublin.  The successful candidate will provide comprehensive company secretarial and administrative support to a portfolio of investment funds. A sound knowledge and understanding of the Companies Act, ICAV Act and Central Bank corporate governance and Individual Accountability/Fitness & Probity requirements for regulated entities is desirable. 

Responsibilities:

– Maintaining statutory registers for a portfolio of investment funds, ensuring compliance with all relevant regulatory requirements.

– Preparing and filing all necessary documentation with the relevant regulatory bodies.

– Attending board and committee meetings, preparing agendas and minutes, and ensuring effective communication.

– Managing corporate governance matters, including the preparation of resolutions and other corporate documentation.

– Liaising with clients, fund managers, and external service providers.

– Assisting with the preparation of fund documentation, including offering letters and subscription agreements.

– Maintaining accurate and up-to-date records of all company secretarial matters.

– Supporting the wider team with ad-hoc tasks as required.

Requirements:

– A minimum of 1-2 years’ experience as a Company Secretary, ideally within the funds industry.

– A strong understanding of Irish company law and relevant regulatory requirements (e.g., Central Bank of Ireland regulations).

– Excellent organisational and time management skills with the ability to prioritise tasks effectively.

– Strong attention to detail and accuracy.

– Excellent written and verbal communication skills.

– Proficiency in Microsoft Office Suite.

– A proactive and solution-oriented approach.

– Ability to work both independently and as part of a team.

Desirable:

– Professional qualification (e.g., ICSA).

– Experience with fund administration software.

– Experience working in a law firm environment.
